Terms and Conditions

Ayiti-Dash is a service “Doing Business As” (DBA) under AJD Crawford Affiliation LLC (“AJDCA”). All references to “Ayiti-Dash ,” “we,” “us,” or “our” within this Agreement shall collectively refer to AJD Crawford Affiliation LLC, operating under the trade name Ayiti-Dash .

Company: Ayiti-Dash (“JIVI”, “we”, “us”, or “our”)

By accessing or using any JIVI website, mobile app, or platform service, you (“User,” “Vendor,” “Driver,” “Cab Company,” or “Customer”) agree to these Terms & Conditions (“Terms”).
Please read them carefully.

1. About JIVI

JIVI Technologies, Inc. (“JIVI”) is a technology service platform that connects users, vendors, cab companies, and independent drivers for the purpose of ordering, delivery, and transportation.

JIVI does not provide transportation, courier, or delivery services directly.
All drivers, vendors, and cab companies are independent contractors or businesses who operate under their own licenses and assume full responsibility for their services.

2. Acceptance of Terms

By using JIVI’s platform or services, you agree to:

Be legally bound by these Terms;
Comply with all applicable local, state, and federal laws; and
Accept JIVI’s role solely as a technology connector, not as a carrier, employer, or insurer.

If you do not agree with these Terms, do not access or use the JIVI platform.

3. Account Registration

All users must create an account to access JIVI’s platform.
You agree to provide accurate, complete, and up-to-date information.
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Payment Terms

For Vendors & Cab Companies:

Fees and payment obligations are governed by their individual Service Agreements.
Vendors and cab companies agree to pay applicable setup fees, monthly service fees, and per-order fees.
Each vendor and cab company is solely responsible for their own taxes and transaction fees.

For Drivers:

Drivers agree to pay applicable membership fees and retain a percentage of fare revenue as outlined in their agreements.
Drivers are responsible for their own vehicle expenses, insurance, and taxes.

For Customers:

Customers acknowledge that service fees, taxes, or delivery charges may apply to each order.
Payment information must be valid and authorized for use on the JIVI platform.

All payments are processed securely through JIVI’s third-party payment providers.

5. Independent Relationships

All parties (vendors, drivers, and cab companies) acknowledge that they are independent entities and not employees or agents of JIVI.

Vendors operate as separate businesses.
Drivers and cab companies act as independent contractors.
JIVI does not supervise, control, or direct their day-to-day activities.

Nothing in these Terms creates a partnership, joint venture, or employment relationship between JIVI and any other party.

6. Responsibilities of Users

Vendors:

Must ensure orders are accurate, safely prepared, and compliant with local health regulations.

Drivers:

Must maintain valid licenses, insurance, and registrations; ensure safe and professional delivery of orders or rides.

Cab Companies:

Must ensure all drivers meet licensing and vehicle requirements; maintain safety and compliance across their fleet.

Customers:

Must provide accurate order and delivery details, pay for orders promptly, and comply with JIVI’s community standards.

7. Liability Disclaimer

JIVI is not liable for any of the following:

Accidents, injuries, or damages involving drivers or vehicles.
Food or product quality issues arising from vendors.
Delays, cancellations, or errors in orders or rides.
Losses due to third-party services, payment processors, or technical issues.

All services are provided “as is”, and JIVI makes no warranties—express or implied—regarding the reliability, safety, or timeliness of any third party.

8. Insurance & Compliance

Each vendor, driver, and cab company is solely responsible for maintaining required insurance, licenses, and permits.
JIVI does not provide insurance coverage for any party or user.

9. Termination & Suspension

JIVI reserves the right to:

Suspend or terminate accounts that violate these Terms, engage in fraud, or misuse the platform; or
Modify or discontinue services at any time without prior notice.

Users may terminate their accounts at any time by written notice or through their account settings.

Outstanding balances remain due upon termination.

10. Dispute Resolution

All disputes, claims, or controversies arising from or related to these Terms shall be resolved exclusively through binding arbitration in the governing state of JIVI’s incorporation.

Users waive any right to participate in class actions or jury trials against JIVI.

11. Indemnification

All users agree to indemnify, defend, and hold harmless JIVI, its affiliates, and representatives from any claims, liabilities, or damages arising from:

Use or misuse of the JIVI platform;
Breach of these Terms; or
Actions of vendors, drivers, or customers.

12. Privacy Policy

By using JIVI, users acknowledge and accept JIVI’s Privacy Policy, which governs how personal information is collected, used, and stored.

13. Modifications to Terms

JIVI may update or revise these Terms at any time.
Continued use of the platform after updates constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the state of Georgia, without regard to conflict of law principles.
